Terms of Service

1. Acceptance of Terms

By accessing and using Aether's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

Aether provides technology consulting services including but not limited to:

  • Custom data platform development and implementation
  • Business intelligence and analytics solutions
  • Data pipeline design and optimization
  • Cloud infrastructure consulting and migration
  • API development and integration services
  • Data security and compliance consulting
  • Predictive analytics and machine learning solutions

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Grant appropriate access to systems and data as required
  • Respond promptly to requests for information or feedback
  • Maintain confidentiality of any proprietary methodologies shared
  • Pay all fees according to the agreed payment schedule
  • Comply with all applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Invoices are due within 30 days of receipt unless otherwise specified
  • Late payments may incur additional fees
  • Services may be suspended for overdue accounts
  • All fees are non-refundable unless otherwise agreed in writing

5. Intellectual Property

Intellectual property rights are governed as follows:

  • Client retains ownership of their data and business information
  • Aether retains ownership of proprietary methodologies and frameworks
  • Custom solutions developed for clients become client property upon full payment
  • Aether may retain the right to use anonymized insights for service improvement

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information, trade secrets, and sensitive business data. This obligation survives termination of the service agreement.

7. Limitation of Liability

Aether's liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages. Services are provided "as is" without warranties beyond those required by law.

8. Service Level Agreements

Service levels will be defined in individual project agreements and may include:

  • Response times for support requests
  • System uptime guarantees for hosted solutions
  • Data processing and delivery timelines
  • Performance benchmarks for analytics platforms

9. Termination

Either party may terminate services with 30 days written notice. Immediate termination may occur for breach of contract, non-payment, or violation of confidentiality agreements. Upon termination, all deliverables and data will be transferred according to the service agreement.

10. Governing Law

These terms are governed by the laws of British Columbia, Canada. Any disputes will be resolved through binding arbitration in Vancouver, BC, unless otherwise agreed by both parties.

11. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to active clients with 30 days notice. Continued use of services constitutes acceptance of updated terms.
